Special Meeting* Agenda

Sunday, August 2, 2026, at 11:30am at the Clubhouse

Attendees: Lake Thunderbird Association Members

Background: Director Rodger Vogel did not recuse himself from and therefore participated in the process to hire family member Tyler Shields as Lake Manager, which occurred on May 26. Additionally, he has refused to resign from the Board. Tyler Shields is Rodger Vogel’s future stepson-in-law and is set to start as Lake Manager on Monday, August 3.

A board member’s fiduciary duty requires the interests of this Association to always be placed first over one’s own. A conflict of interest has been created, which is a significant risk to this Association, and will not be resolved until Rodger Vogel is removed from the Board.

Purpose: Vote upon removal of Director Rodger Vogel from the Board of Directors

Agenda: 11:30am – Meeting opens

1) Discuss rationale for removal of Director Roger Vogel.

2) Make motion for removal.

3) Begin voting

1:00pm - Voting concludes

4) Count votes.

5) Announce results

*Meeting called pursuant to the Lake Thunderbird Association AMENDED AND RESTATED DECLARATION OF RESTRICTIVE COVENANTS AND BY-LAWS, Exhibit B, Article VI, Section 6. Removal of Directors. Any Director may be removed from office, with or without cause, by the affirmative votes of at least two-thirds (2/3) of the votes present and voted, in person or by proxy, at any special meeting of the members called for such purpose. No Director shall be removed at a meeting of the members unless written notice of such meeting is delivered as provided in Section 4 of these By-Laws which notice shall state that a purpose of the meeting is to vote upon the removal of one or more Directors named in the notice. Only the named Director or Directors may be removed at such meeting.
